# Three Arrows for One Equity Arrangement

AI Infra Credit · Published and sources checked September 26, 2026

An ownership link, a delivery of shares and a cash transfer can point in different directions. Treating them as the same arrow makes a financial network easier to draw—and harder to interpret.

## The transaction, kept in scope

CoreWeave's [March 7, 2025 agreement](https://www.sec.gov/Archives/edgar/data/1769628/000119312525052207/d899798dex1025.htm) provides for $350m of shares delivered to OpenAI under their services arrangement. The [Q1 report](https://www.sec.gov/Archives/edgar/data/1769628/000176962825000014/crwv-20250331.htm), Part II Item 2, confirms issuance of 8.75m shares on March 31 with no issuance proceeds. Its cash-flow supplement classifies the contract incentive as noncash.

The IPO reference-price reconciliation is 8,750,000 × $40 = $350,000,000. That reconciles the historical reference value; it does not establish today's market value or current ownership.

| Question | Direction or result | Meaning of the amount |
|---|---|---|
| Who delivered the new shares? | CoreWeave → OpenAI | Shares delivered; noncash reference value |
| Which ownership relationship was created? | OpenAI → CoreWeave | A shareholder relationship at issuance, not a payment |
| How much cash did the issuer receive from this issuance? | $0; no positive cash-transfer arrow | Explicitly disclosed zero, not an unknown amount |

This is an additional semantic layer, not a reason to erase the ownership link. A relationship map, an in-kind-transfer map and a cash-flow map answer different questions. Their arrows should declare which question they answer.

## Economic support is broader than cash raised

Equity can be part of the commercial consideration that helps counterparties agree to a project. In a negotiated transaction, a share-based incentive could substitute for a cash concession or give a customer exposure to the supplier's success. Those are possible mechanisms, not a claim about the undisclosed bargaining alternative in this particular deal.

That economic role belongs in the analysis. So do dilution, the rights delivered and the project's remaining cash needs. The share transfer itself cannot pay an equipment vendor from the issuer's bank account. Any construction funding must come from separately identified cash sources.

Likewise, adding a share-reference value to a service-purchase commitment does not turn their sum into fresh cash financing. A researcher may report several forms of transaction value, but must retain their different meanings.

## Agreement date, issuance date, filing date

The [agreement's SEC index](https://www.sec.gov/Archives/edgar/data/1769628/0001193125-25-052207-index.htm) lists a March 12, 2025 filing. The [quarterly filing index](https://www.sec.gov/Archives/edgar/data/1769628/000176962825000014/0001769628-25-000014-index.htm) lists May 15, while separately displaying an acceptance timestamp on May 14. The data retains both as labeled; it does not silently convert the timestamp to another timezone.

A forecast made before a later filing must not acquire hindsight by assigning the filing's confirmation to the issuance date. These are dates of the linked source documents—not a certification that no earlier public disclosure existed. The earliest-ever disclosure date remains unresolved.

## A reusable annotation

Download the [single-event annotation](/downloads/noncash-equity/annotation.json) or the [research note](/downloads/noncash-equity/research-en.md). The JSON separates the instrument, amount basis, event date, document date and relationship convention. It leaves current holdings and the commercial relationship's total cash receipts unknown.

When adding this layer to a transaction map, preserve the original source category and record the annotation separately. Do not convert all equity arrangements to zero cash: a paid share subscription is a different event. Conversely, do not turn a known noncash issuance into an assumed future cash receipt.

The zero here is specific to issuance proceeds. It says nothing by itself about all customer payments, the value of the service commitment, a whole network's circularity, or anyone's solvency. This is one documented historical case, not a complete financing database or a current ownership register.
